01About these terms
These Terms govern use of The nZone platform, mobile application and related services (the "Service") by an agency or organisation (the "Client") and the people it authorises to use them ("Users"). If the Client has a signed proposal, order form or agreement with us, that document takes priority where it conflicts with these Terms. By using the Service, the Client agrees to these Terms.
02Accounts
The Client is responsible for who it invites as Users, the access it gives them, and all activity under its account. Users must keep their login details confidential and must not share accounts.
03Client data
- The Client owns its Client Data. We use it only to provide, secure and support the Service, as described in our Privacy Policy.
- The Client confirms it has the right, and any consents needed, to add Client Data to the Service.
- The Client is responsible for the accuracy of its data and for checking important details, such as travel bookings, visa and entry requirements, tee times and deadlines, against official sources.
- When the Client's subscription ends, it may request an export of its data within 30 days, after which we may delete it.
04Acceptable use
Users must not use the Service unlawfully, try to access accounts or systems they are not authorised to use, interfere with the Service's security or performance, upload malicious code, or copy, reverse-engineer, resell or use the Service to build a competing product.
05Fees
Fees are as agreed in the Client's proposal or order form and are payable by the due date on each invoice. Fees exclude applicable taxes. We may suspend access if an invoice remains unpaid 30 days after its due date, after giving written notice.
06Intellectual property
We own the Service, including the software, its design, and the nZone name and logo. The Client receives a non-exclusive, non-transferable right to use the Service for its own business during its subscription. Where the app is white-labelled, the Client allows us to use its name and branding only for that purpose.
07Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purposes of this relationship. This continues after the relationship ends.
08Availability and disclaimers
We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free, and it is provided "as is". We are not a travel agent, immigration adviser, medical provider or financial adviser, and the Service does not replace professional advice.
09Liability
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data.
- Our total liability in connection with the Service in any 12-month period is limited to the fees the Client paid us for the Service in the 12 months before the claim.
- Nothing in these Terms limits liability that cannot be limited by law.
10Client responsibility for claims
The Client will be responsible for, and will reimburse us for, claims made against us by third parties arising from Client Data the Client provided without the right to do so, or from its Users' breach of the Acceptable Use terms.
11Ending the service
Either party may end the Service as set out in the Client's proposal or order form or, if none applies, on 30 days' written notice. Either party may end it immediately if the other seriously breaches these Terms and does not fix the breach within 30 days of being asked to. We may suspend access immediately if needed to deal with a security threat or unlawful use.
12Changes to these terms
We may update these Terms. We will give Clients reasonable notice of significant changes, and continued use of the Service after that notice means the Client accepts them.
13Links to other websites
Our website may contain links to third-party websites. We do not control these sites and are not responsible for their privacy practices.
14Governing law
These Terms are governed by the laws of South Africa, unless the Client's proposal, order form or agreement with us says otherwise. We will both try to resolve any dispute through good-faith discussion first, before taking it further.
